HIGHLIGHTS

ANP holds public hearing on local content reports

On October 08, 2024, the National Agency of Petroleum, Natural Gas, and Biofuels (“ANP”) held a public hearing to discuss the amendment to ANP Resolution No. 871/2022, which regulates local content reports (Quarterly Expense Report – “RGT” – and Local Content Report – “RCL”). The review also includes a specific amendment to Resolution No. 870/2022, relating to special participation (participação especial) in RGT.

Companies holding exploration and production rights must submit the RGT and RCL reports to the ANP to prove compliance with local content obligations established in oil and natural gas exploration and production contracts.

The decision to publish a new resolution is one of the alternatives provided for in ANP’s Regulatory Impact Analysis Report No. 1/2023, which identified opportunities to streamline Resolution No. 871/2022. The study results also indicated the need to adjust Resolution No. 870/2022 to ensure regulatory uniformity and compatibility with the requirements for submitting RGT by companies, without changing the requirements for calculating ANP’s special participation.

The draft resolution underwent a 45-day public consultation and received 42 contributions from companies, associations, and governmental institutions. ANP’s technical area will analyze the suggestions received in order to make potential changes to the original draft. The ANP and the Brazilian Federal Attorney’s Office will analyze the consolidated text. Additionally, the ANP’s Collegiate Board must approve it prior to publication.

Concession Open Acreage: ANP approves new versions of notice and draft contracts

On October 17, 2024, the ANP’s Board approved the update to the tender protocol and the draft concession contracts for blocks and areas with marginal accumulations under the Concession Open Acreage (“OPC”).

The documents’ revision was subject to public consultation and hearing and is being assessed by the Federal Court of Accounts (“TCU”) in compliance with TCU Normative Instruction (“IN”) No. 81/2018. The court can analyze the documents within 90 days. The publication of OPC instruments is expected to take place in January 2025.

Among the main improvements, we highlight:

  • Adjustments resulting from the change of local content guidelines provided for in Resolution No. 11/202 of the National Energy Policy Council (“CNPE”);
  • Adjustments resulting from the publication of ANP Resolution No. 969/2024, which regulates bids for the granting of exploration, rehabilitation, and production of oil and natural gas under concession and production sharing regimes;
  • Update of guarantee insurance models arising from Public Consultation and Hearing No. 01/2024;
  • Exemption from payment of the participation fee and the data sample;
  • Possibility of more than one bidder serving as guarantor in consortium bids;
  • Possibility for the bidder to submit a bid guarantee without a declaration of interest, in order to expand the opportunities for forming consortia;
  • Minimum fixed subscription bonuses for all blocks located in mature and new frontier onshore basins;
  • Adjustment to the delimitation of blocks due to the application of new criteria for sectioning off areas, taking into account broader socio-environmental criteria;
  • Adjustments to the regulations and procedures for re-opening the public session;
  • Cover letter requirement for new applicants;
  • Adjustment to the conditions for seismic reprocessing to be converted into Work Units for complying with the Minimum Exploratory Program (“PEM”);
  • Deadline extension for delivery of the monetary update to the ANP based on the General Price Index – Internal Availability (“IGP-DI”) of the financial guarantees ensuring compliance with the PEM or Initial Work Program (“PTI”);
  • Expansion of the list of companies for which notification to the ANP is waived in order to disclose the data acquired as a result of the operations and the contract; and
  • Deadline reduction, from 30 to 20 days, for the ANP to appoint an arbitral institution, among those listed in the contract, if the parties do not agree on the choice of the arbitral institution.

Production Sharing Open Acreage: ANP launches public consultation on notice and draft contracts

On October 18, 2024, the ANP published, in the Federal Official Gazette, a notice on the 45-day public consultation (Public Consultation and Hearing No. 06/2024) for the new versions of the tender protocol and the contract for the Production Sharing Open Acreage (“OPP”). The public hearing is scheduled to take place on December 11, 2024.

The draft tender protocol and contracts – as well as the procedures for participating in the public consultation and hearing – are available on the corresponding webpage of Public Consultation and Hearing No. 06/2024.

The OPP documents establish the regulations for bidding 14 blocks in the Pre-Salt Polygon. The ANP’s Board approved the review on September 05, 2024, and submitted it to the Ministry of Mines and Energy (“MME”).

Among the 14 blocks placed on offer in the draft notice are: Ágata, Esmeralda, Jade, and Turmalina (authorized by CNPE Resolution No. 26/2021); Ametista (authorized by CNPE Resolution No. 04/2022); and Amazonita, Citrino, Itaimbezinho, Jaspe, Larimar, Mogno, Ônix, Safira Leste, and Safira Oeste (authorized by CNPE Resolution No. 11/2023).

Petrobras exercised the right of preference for the Jaspe block, with a 40% participation, according to the provisions of CNPE Resolution No. 06/2024, published on August 28, 2024.

Public consultation and hearing approved on PEM compliance outside the boundaries of the contracted area

On October 31, 2024, the ANP’s Board approved a public consultation and hearing on the draft resolution that establishes the requirements and procedures for complying with the PEM outside the boundaries of the area originally contracted (Public Consultation and Hearing No. 07/2024).

The ANP carried out a study on the methods to foster more exploratory activities. According to the agency, the study identified the need to soften and clarify the regulations governing the possibility of complying with the PEM outside the boundaries of the concession area through a new resolution that outlines the requirements for taking advantage of this mechanism.

The draft resolution proposed by the ANP, and submitted to public consultation, suggests that if the operator of the concession contract is interested in carrying out the PEM outside the boundaries of the original area, a request must be submitted to the ANP. Such request must indicate the contract of origin and the receiving area in which the Work Units (“UTs”) are to be implemented.

The number of UTs to be implemented in the receiving area will be chosen by the operator, provided that, in the event of a contracted area, the operators of the original and receiver contracts are the same.  In addition, the proposed draft resolution also seeks to determine the requirements for complying with PEM in areas that are not under contract for the exploration and production of oil and natural gas (except for the Pre-Salt and strategic areas).

At the end of the public contribution process, based on the suggestions received and further supplementary analyses carried out, the regulation to be published will be subject to final assessment and approval by the ANP’s Collegiate Board.

Tax Reform: Proposal of non-levy of the Selective Tax on extraction or export of oil and natural gas

In October 2024, the Federal Senate’s Committee on Economic Affairs submitted a proposal to amend the regulatory text governing the Tax Reform (PLP 68/2024), aiming to remove the levy of the Selective Tax on the extraction or export of all mineral assets, except for coal. Thus, if the amendment is approved, the tax will not be levied on natural gas and oil.

Oil and gas production increased from July to August 2024

On October 01, 2024, the ANP published the Monthly Newsletter of Oil and Natural Gas Production for August 2024, which provides for the consolidated data regarding Brazilian production. According to the ANP, the overall production, which includes oil and natural gas, accounted for 4.345 million barrels of oil equivalent per day (boe/d).

Regarding oil, 3.340 million barrels per day (bbl/d) were extracted – representing a drop of 3.4% compared to the previous month, and an increase of 3.5% compared to February 2023.

In August, natural gas production reached 159.7 million cubic meters per day (m³/d), representing an increase of 5.6% compared to July 2024 and a drop of 8% compared to August 2023.

ANP approves studies of three new exploratory blocks in the Pre-Salt

On October 17, 2024, the ANP approved geological and economic studies on three exploratory blocks located in the Pre-Salt of the Santos basin, as follows: Quartzo, Calcedônia, and Opala.

As informed by the ANP, the studies will be submitted to the MME to assess their potential inclusion in future bidding rounds. The MME is responsible for proposing that the CNPE define the blocks that can be the subject of bidding rounds for production sharing as well as the parameters to be adopted.

25 blocks approved in the Campos and ES basins

On October 31, 2024, the ANP’s Board approved the indication of 25 exploratory blocks in the list of those under study to be potentially included in the OPC. However, in order to be incorporated into the OPC notice, the blocks need to undergo environmental analysis. In addition, the MME and the Ministry of Environment (“MMA”) must submit a joint statement, and a public hearing must be held.

According to the ANP, the approved blocks cover an area of approximately 18 thousand km² and are geographically located in sectors SC-AUP1, SC-AUP2, and SC-AP1 of the Campos basin and in sector SES-AUP3 of the Espírito Santo basin. The area is adjacent to the deep and ultra-deepwater portion, located at a depth of more than 2,750 meters, and lies more than 190 km from the coast.

ANP approves prior consultation on LPG distribution and resale

On October 31, 2024, the ANP’s Board approved the prior consultation (Prior Consultation No. 3/2024) on the preliminary report of the Regulatory Impact Analysis (“AIR”) concerning the revision of the regulatory framework for distributing and reselling liquefied petroleum gas (LPG), provided for in ANP Resolutions No. 957 and No. 958, both of 2023.

Among the topics addressed in the report, which will be submitted to prior consultation, we highlight the following:

  1. New LPG uses;
  2. Filling of containers with a traceability system;
  3. Remote filling (total or partial) of transportable containers;
  4. LPG apportionment in primary supply centers experiencing shortages;
  5. Third-party packaging contracts; and
  6. Tying resale to the distributor’s brand.

As indicated by the ANP, the review aims to leverage the LPG market (cooking gas) and ensure access to the product in numerous segments of society – to benefit consumer prices – while preserving adequate safety levels.

The public consultation will be held from November 05 to December 20, 2024.

ANP amends resolution on accreditation of laboratories operating in quality control of imported products

On October 31, 2024, the ANP’s Board approved changes in ANP Resolution No. 859/2021 (as provided for in ANP Resolution No. 976/2024), which addresses the requirements for obtaining the accreditation to operate as a quality inspection company in the imports segment.

One of the requirements provided for in ANP Resolution No. 859/2021 concerns the need for quality inspection companies to hold an accreditation granted by the General Coordination of Accreditation of the National Institute of Metrology, Quality, and Technology (“CHCRE – INMETRO”), to carry out the studies subject to accreditation. The transitional provisions enabled accreditation until 2023, but the board extended the deadlines.

Quality of imported products: ANP amends regulations involving road transportation

On October 31, 2024, the ANP’s Board approved a public consultation and hearing on the proposal to include a chapter in ANP Resolution No. 680/2017 (Public Consultation and Hearing No. 8/2024), which provides for the quality control of imported products (biodiesel, ethanol, LPG, automotive and aviation gas, diesel oil, fuel oil, aviation kerosene, and green diesel).

As informed by the ANP, the chapter will address the quality control of imported products when road transport is used to enter Brazil through dry borders, where no laboratory infrastructure is available. In these cases, importers cannot obtain the Certificate of Quality at Destination (CQD) – as required by the ANP –, where the product is internalized.

HIGHLIGHTS

ANEEL initiates public consultation on term extension of distribution concessions

Nineteen energy distribution concessions will achieve their terms from 2025 to 2031. In this context, Decree No. 12,068/2024 regulated the bidding and extension of these concessions and further established that the National Electric Energy Agency (“ANEEL”) will define the draft amendment for such term extension.

Thus, ANEEL established a public consultation (“CP”) to obtain contributions to the amendment to the electricity distribution concession contract. Below, we highlight some of the topics submitted to public consultation, which are part of the draft amendment:

  • ANEEL can revise and adapt the economic regulation regime applicable to the concession contract, such as the adoption of incentive regulation;
  • Recognition of capital and operating costs between tariff revisions, in order to reduce the exposure to the concessionaire’s financial risk due to investments in large-scale assets;
  • Application of incentives compatible with management capacity in concessions involving a significant presence of areas with severe restrictions on combating energy losses and default;
  • Guarantee of distributor non-exclusivity in providing services that can be offered by other agents;
  • Use of the Broad National Consumer Price Index (“IPCA”) for the Annual Tariff Adjustment, among others.

ANEEL publishes a technical note on increased network resilience

The discussion about network resilience arose due to numerous extreme weather events that have caused impacts on energy networks (mainly distribution networks), such as rainfalls, electrical discharges and windstorms, hindering services and leading to several power shortages at consumer units.

Thus, ANEEL published a technical note (“NT”) evaluating the contributions received in Call for Contributions 002/2024, on increasing the distribution and transmission system resilience in response to extreme weather events.

 The NT analyzed more than 1,000 contributions and reached important conclusions to change the current regulations, as follows:

Improvements to the Distribution Sector – Module 4, Distribution System Operating Procedures (“PRODIST”):

  • Clarify that distributors are responsible for managing urban afforestation (including tree pruning), in conjunction with municipalities;
  • Establish that distributors must inform consumers, within 15 minutes of electricity interruption, and maintain up-to-date information on an electronic site, including the total number of consumers affected by such interruption;
  • Establish that the sharing of teams between distributors can only occur during severe crises and after the affected distributor’s resources have been exhausted; and
  • Regulate the need for distributors to have a contingency plan to minimize the effects of extreme weather events.

Improvements to the transmission sector – Transmission Regulations Module 4

  • Inclusion of a section in Module 4, regarding Transmission Regulations, on contingency plans for climate monitoring, event management, and user service.

A public consultation must be established to discuss proposed regulatory changes.

ANEEL initiates public consultation on early settlement of COVID and Water Scarcity accounts

On October 29, 2024, ANEEL published a CP to discuss the tariff developments of the early settlement of both Covid and Water Scarcity accounts, under provisional measure (“MP”) No. 1,212/2024.

Considering that COVID and Water Scarcity accounts have been settled in advance, its effects on distributors’ tariff processes must be analyzed. In this perspective, the updates to Submodules 4.4, 4.4A, and 5.2 are under a CP, with the financial components called “Tariff coverage refund (CDE-water scarcity)” and “Early settlement of receivables (MP 1,212/2024)” included.

ANEEL highly debated the opening of this public consultation, considering that this operation was expected to result in BRL 510 million savings, with a refund on consumers’ electricity bills. However, due to recalculation, the benefit was actually BRL 46.5 million—which corresponds to a 0.02% discount on electricity bills.

TCU audits transmission system expansion

 

Due to irregularities found in the operational audit carried out by the Specialized Audit Unit for Electricity and Nuclear Energy, the Federal Court of Auditors (“TCU”) determined a series of recommendations aimed to improve the process, such as:

  • The Ministry of Mines and Energy (“MME”), the Energy Research Company (“EPE”), the National Electric System Operator (“ONS”), and ANEEL must adopt indicators capable of assessing the quality, effectiveness, efficiency, and effectiveness of the planning process involving the systems’ expansion, thus ensuring improvement to the transmission system.
  • The EPE, with the support of the ONS, must develop and acquire computational systems that represent the new technologies applicable to transmission systems.
  • ANEEL must study and improve the publication method of energy tariff installments, as it is difficult for the average user to understand, which causes misinterpretations and non-compliance with the current regulations.

To this end, the TCU auditing department is improving the expansion planning of the electricity transmission system in Brazil, whose recommendations are fundamental to ensuring that the expansion process flows more efficiently and effectively. These measures are crucial to ensuring a robust transmission system that is in line with current technological and regulatory demands.

Law encouraging “Fuels of the Future” is sanctioned with vetoes

Law No. 14,993/2024 was sanctioned, regulating and creating programs to encourage the production and use of sustainable fuels, such as green diesel and biomethane, known as “Fuels of the Future”.

The new law creates national programs to encourage the use of renewable fuels, provides for CO2 capture and storage activities, establishes measures to foster decarbonization, and changes the percentages of ethanol and biodiesel blended into gasoline and diesel, respectively.

ANEEL launches interactive panel on Energy Efficiency Program

ANEEL has published four interactive panels that provide full access to Energy Efficiency Program data (“PEE”). The panels are listed as follows:

  • Investment, Electricity Saving, and Reduced End Demand: Holds data on the distributors’ investments and energy results;
  • Electricity End Use: Classifies the results of PEE investments according to electricity end use;
  • Efficient Equipment: Displays details about efficient equipment installed every year; and
  • Financial Transaction: Indicates the annual amounts invested in energy efficiency, in a mandatory manner, by distributors.

Brazil launches innovative platform for investments in sustainability

Brazil’s Federal Government has launched the Brazilian Climate and Ecological Transformation Investment Platform (“BIP”), which aims to foster national investments to leverage programs and connect international investors to strategic sustainable development projects within Brazil. The platform emphasizes ecological transition and combating climate change.

With BIP, companies seeking funding for projects in the energy, industry, and mobility sectors, including nature-based solutions and bioeconomy, can submit their projects via platform to share them with the network of financial institutions. To this end, these projects must (i) be in line with national transition plans and programs; (ii) generate significant impact by reducing, hijacking, or avoiding greenhouse gas emissions; (iii) seek significant capital amounts and platform support to raise capital; and (iv) offer socioeconomic benefits.

The creation of BIP represents a significant milestone in Brazil’s trajectory toward a more sustainable future. By integrating domestic and international efforts, the platform strengthens Brazil’s position in the global climate change landscape and opens up new economic opportunities.

Discount on TUST/TUSD: Deadline altered for commercial operation of plants and effects on CUSTs

On October 22, 2024, ANEEL decided on the application of MP No. 1,212/2024, which provides for the extension of the deadline for using the discount on Transmission and Distribution Systems (“TUST/TUSD”) regarding the implementation period of the projects and effects on the Transmission System Use Contracts (“CUST”) already signed.

As for the implementation deadlines, ANEEL stated that, if the current implementation deadlines were maintained, the agents who chose to enjoy the 84-month extension (48 months already granted by Law No. 14,120/2021 and 36 months granted by MP 1,212) – in order to set up their plants and enjoy the discount – would have one of the obligations of the grant breached. This is because the regulation currently establishes that the plant implementation deadline must not exceed 54 months.

Thus, ANEEL decided that the projects that opted for the extension provided for in MP 1,212/2024 must have a 90-month implementation period (54 + 36 months), counted from the date of publication of their grants. However, this deadline does not apply to power plants that sold energy in regulated auctions, and will not result in exclusion from liability.

Regarding the regulatory treatment for the CUSTs signed, CP No. 028/2024 was initiated on the proposed specific regulatory treatment regarding CUSTs postponement for more than 12 months.

ANEEL’s understanding, which was submitted to public consultation, is that if the CUST postponement is granted for more than 12 months, the affected generator will incur an adjustment charge, from the entry into commercial operation of the power plant, in order to put it in a similar situation of costs in relation to an ordinary generator in the same situation.

CCEE launches platform on renewable energy certification

On October 29, 2024, the Chamber of Electricity Commercialization (“CCEE”) launched a Brazilian platform for Renewable Energy Certificates (“RECs”). This measure will develop the RECs market in Brazil and attract investments from companies committed to the green economy.

The platform will centralize the data of all the plants in Brazil and the companies issuing certifications. In addition, it will be possible to consult the documents issued by CCEE, with information about the certifying company, generating plant, amount in MWh terms of the consumption issuance and hash code of the transaction.

“Fuel of the Future” law is sanctioned

On October 08, 2024, Law No. 14,993/2024 was sanctioned, originating from Bill No. 528/2020 (known as the “Fuel of the Future” Bill). The new law creates national programs to foster the use of renewable fuels, provides for CO2 capture and storage activities, establishes measures to encourage decarbonization, and changes the percentages of ethanol and biodiesel blended into gasoline and diesel, respectively.

Federal Government launches platform to attract investments in key sectors encompassed by climate transition

On October 23, 2024, the Federal Government announced the launch of Brazil’s Climate and Ecological Transition Investment Platform (“BIP”), a joint initiative that seeks to expand and optimize transition investments from all sources in support of the Federal Government’s Ecological Transformation Plan in key sectors, including the energy sector.

The projects will derive from the public and private sectors, including the possibility of supporting the transitional efforts of Brazilian cities and states. The initiative comprises three major sectors:

  • Energy – aimed at supporting efforts to enable off-grid solar energy, smart grids, offshore wind industries, sustainable fuels, agricultural bio-inputs, low-carbon hydrogen, energy efficiency, and critical minerals.
  • Solutions based on nature and bioeconomy – aimed at the restoration and sustainable management of native vegetation, deforestation reduction, regenerative agriculture, and waste management.
  • Industry and Mobility – aimed at fostering decarbonization efforts in sectors such as steel, aluminum, and cement, as well as in electric urban mobility and green fertilizers.

Within these sectors, the platform has already identified and included pilot projects to test BIP’s pipeline selection criteria, its operating model, and decision-making forums. To date, these projects amount to USD 10.8 billion in capital to be raised.

Photovoltaic plant transactions exceed 500MWp this semester

On October 16, 2024, Greener published a survey indicating  20 photovoltaic plants negotiated from July to September, adding 515 MWp of power. Compared to the same period in 2023, there was an 89% increase in transactions published, including plant and company transactions. Considering all the assets transacted by the end of the third quarter – compared to 2023 in its entirety –, there was a 21.4% increase in mapped transactions.

According to Marcia Takata, Greener’s CEO: “This has been a year of important investments in Brazil’s solar photovoltaic industry, as demonstrated by the 34 transactions recorded up to September, representing the highest number of mapped transactions since 2022.”

Brazilian biogas and biomethane market bustling with M&A transactions

On October 21, 2024, a survey carried out by Redirection International mapped at least 13 M&A transactions carried out in Brazil, from September 2023 to August 2024, involving companies in the biogas and biomethane sector. The number of transactions has escalated in the two preceding years, revealing the sector’s growth.

Redirection’s Director highlights: “We are witnessing an increase in investor interest in companies in the biogas sector and the broader chain. This segment’s M&A transactions have increased greatly in the last 12 months and, as the market strengthens, there is plenty of room to grow further. We can draw a parallel with the boom in wind and solar energy deals experienced in recent years.” In addition, he recalls that Brazil has recently attracted a growing number of international companies in this sector, which indicates that the market is increasingly attractive and consolidated.

One of the main reasons for the positive performance of the Brazilian biogas and biomethane market lies in the wide diversity of production sources combined with the country’s agricultural flair. In general, municipal solid waste and waste from the sugar cane and livestock industries are used to produce biogas and biomethane. Redirection International’s study also points out that the pursuit of decarbonizing economies is another factor driving the biogas and biomethane segment.

ABNT creates a special study commission to nationalize IEC 61400

On October 24, 2024, an article announced that the Brazilian Association of Technical Standards (“ABNT”) created a special study commission to assess the national implementation of an international regulation, IEC 61400, which establishes the procedures for tracking the performance of wind turbines – “Part 11” of which addresses the equipment’s sound capacity. The commission was formed due to the lack of criteria for arbitrating complaints over noise caused by wind turbines at wind farms in Brazil, which was a source of complaint for many entrepreneurs.

According to Krisdany Cavalcante, the commission’s coordinator and manager of ABNT’s Brazilian acoustic committee, the regulation has already been translated, and the commission’s work has already begun. The commission’s first meeting was held in October, and the second on November 1, 2024. The director further states, “The chances of publishing the regulation are very high.”

Once completed, Brazil will have its own regulation based on the most widely used global regulation, which can underpin permits and serve as a reference in legal proceedings. This will prevent many decisions from being based solely on the assessment of experts who can choose not to follow international state-of-the-art regulations and, consequently, hand down decisions that are not based on technically founded criteria.

MME holds workshops on “Fuel of the Future” regulation

On October 24, 2024, the MME announced workshops – between October 31 and December 10, 2024 – to address the next steps for regulating public policies in the oil and gas sector, with an emphasis on the “Fuel of the Future”. The workshops, which will be held in MME’s lecture hall, will be open to the public, with online registrations.

Ten meetings will be held in total to discuss the challenges and opportunities in areas such as biofuels, natural gas, biomethane, and sustainable aviation fuels. The agenda also includes discussions on the new blend percentages of ethanol and biodiesel, the “Gas for All” program, the regulatory harmonization initiatives for the natural gas market, and the integration of public mobility and sustainability policies.
