Partner in Demarest’s M&A, Corporate Law, Private Equity and Venture Capital practice areas, Fabio Tayar holds a master’s degree (LL.M.) in Corporate Law from the School of Law of New York University (NYU) and a bachelor’s degree in Law from Universidade Presbiteriana Mackenzie. During his studies in New York City, Fabio worked as foreign associate attorney at Cravath, Swaine & Moore. He has extensive experience in corporate law, with an emphasis on mergers and acquisitions, private equity investments, joint ventures, crossborder operations, corporate reorganization, and corporate governance. His major clients include Brazilian and foreign companies in numerous sectors of the economy, such as private equity funds, financial market companies, banks, building corporations, companies operating in retail, education, healthcare, agriculture, and in the automobile industry.
- Advised Digital Realty in acquiring Ascenty for USD 2.25 billion and constituting a joint venture between Digital Realty and Brookfield.
- Advised VINCI Highways (i) in acquiring the Peruvian concessionaire LAMSAC, wholly-owned subsidiary of Invepar, for BRL 4,5 billion, and (ii) in acquiring Invepar’s electronic toll collection operator – PEX.
- Advised Generali SpA on the USD 1,7 billion sale of BSI bank to Banco BTG Pactual S.A. and EFG International in acquiringBSI for CHF 1,3 billion.
- Assisted GIC, a Singapore's sovereign fund, in acquiring 28% of Rede D'Or São Luiz from its founding shareholders, including Banco BTG Pactual, for BRL 5,2 billion, and on the subsequent sale of 2% of Rede D'Or São Luiz to Carlyle.
- Assisted CRH plc, an Irish cement producer, in acquiring assets from Lafarge and Holcim, for EUR 6,5 billion.
